ABOUT THE AUTHOR & WORKS
Tonderai Chitauro is a Zimbabwean-born, South Africa–based accountant, public finance consultant, and author. His first book, Democratic Political Economy: Principles of Economic Freedom (2014) critiques company law, tax structures, and economic inequality. It introduces the concept of "Taxodus"—a movement toward economic freedom through reformed tax systems and mass understanding of political economy. His forthcoming book Taxodus expands on these themes. This proposal encompasses management of the Author's personal brand and the Taxodus brand as an organisation, movement, and all associated products.
PROPOSED MANAGEMENT AGREEMENT · TERMS

1.3 Commencement: 4 March 2026 · 5‑year initial term.
2. ENGAGEMENT & WORKS
2.1 Exclusive worldwide representation for services herein.
2.2 Author confirms sole ownership of Democratic Political Economy (2014) and Taxodus (forthcoming) plus all intellectual property therein.
2.3Taxodus as a Brand and Movement: The Parties acknowledge that "Taxodus" represents not only a literary work but also a distinct brand, concept, and movement focused on economic freedom, tax justice, and financial literacy. All rights associated with the Taxodus brand, including its name, slogans, trademarks, logos, associated terminology, and the philosophy underpinning the movement, are owned by the Author and are subject to this Agreement.
2.4Scope of Representation: The Agency is appointed as sole representative for: (a) the Author's personal brand, image, and likeness; (b) the Taxodus brand, including its development as an organisation, movement, or commercial entity; and (c) all associated products, services, and commercial opportunities derived from or related to the Author's Works and the Taxodus brand.
2.5Involvement in All Deals and Opportunities: The Agency must be involved in all negotiations related to any deal, sponsor, donor, partnership, or commercial opportunity arising from the Author's career, the Works, or the Taxodus brand/movement. The Author shall not finalise any such opportunity without the Agency's participation, and the Agency's commission shall apply to all income derived therefrom, regardless of origin.
3. SERVICES (PHASED & RETAINER STRUCTURE)
Phase 1 · Initiation includes retainer
Brand strategy, website build, Wordfence security, initial marketing. Website management + security on MONTHLY RETAINER (details in SLA).
Phase 2 · Launch
Full PR & marketing for Taxodus, digital content, commercials.
Phase 3 · Expansion
Documentary production, sponsor/donor sourcing, global expansion.
WEBSITE MANAGEMENT & SECURITY (WORDFENCE) — RETAINER BASIS
Ongoing website maintenance, security monitoring, Wordfence administration, and performance updates are provided under a monthly retainer. Full details—including scope, response times, uptime, and exclusions—are defined in a separate Service Level Agreement (SLA) which forms part of the overall engagement. Retainer fees are billed monthly and are exclusive of the 20% management commission.
4. TAXODUS BRAND, MOVEMENT & PRODUCT SERVICES
4.1Brand Architecture & Trademark Protection: Advising on trademark registration strategy for the Taxodus brand and key phrases in key territories.
4.2Organisational Development: Strategic consulting on the optimal structure for Taxodus as an organisation (e.g., non-profit, social enterprise, for-profit).
4.4Movement Building & Community Management: Strategies to build a community around Taxodus, including social media, newsletters, and user-generated content.
4.5Strategic Partnerships: Securing partnerships with educational institutions, non-profits, corporations, and media platforms to amplify the movement and create revenue streams.
5. CATEGORISATION: MANAGEMENT vs ON-DEMAND
MANAGEMENT SERVICES
PR, brand strategy, website oversight (strategic), sponsor/donor relations, movement building — covered by 20% commission.
ON-DEMAND / À LA CARTE
Marketing costs (ads), promotions, event activations, production of commercials/documentary, product manufacturing. Paid 100% by Author + separate SLA per project.
Each on‑demand project will be governed by its own Service Level Agreement (SLA) detailing deliverables, timelines, and fees.
6. FEES & COMMISSION
6.1 Estimated 5‑year value: R 2,500,000
6.2 Non‑refundable initiation fee: R 25,000 – due within 7 days of signing.
6.3Management commission: 20% of Gross Receipts (defined below) before taxes. Commission is calculated on income, not on expenses.
6.4 Sponsorship procurement fee: additional 5% of major sponsor/donor deals secured by Agency (payable upon sponsor payment).
7. GROSS RECEIPTS DEFINITION
7.1 "Gross Receipts" means all income derived from the Author's career and the Taxodus brand, including but not limited to:
Book sales, advances, royalties, licensing.
Speaking fees, honoraria, consulting.
Sponsorships and donations (regardless of source).
Licensing of Taxodus intellectual property, methodology, or branding.
Documentary income (distribution, streaming, grants).
Any other income from commercial exploitation of the Author's name, image, likeness, Works, or the Taxodus brand.
8. RETAINER & ON-DEMAND PAYMENT
8.1 Website management + security retainer: monthly fee as per separate SLA, invoiced in advance.
8.2 On‑demand services: Author pays 100% of approved costs (in advance or within 7 days of invoice).
8.3 No commission is earned on money spent on ads, events, or production.
9. INTELLECTUAL PROPERTY
9.1 Author retains copyright in literary works (Copyright Act 1978).
9.2 Agency owns marketing content, commercials, documentary until final payment. Thereafter non‑commercial license granted; commercial reuse requires separate license.
10. SEPARATE PROJECT AGREEMENTS FOR MAJOR INITIATIVES
10.1 Major initiatives (documentary, online course platform, merchandise line, formal organisation) may be governed by separate project agreements or SLAs detailing scope, budget, and timeline.
10.2 For initiatives where the Agency provides substantial developmental input, the Parties may agree on an equity share, revenue share, or enhanced commission structure for that specific product, documented in the separate agreement.
11. TERMINATION & CANCELLATION FEES
11.1 Early termination by Author (first 24 months): cancellation fee = total fees/commissions paid in last 12 months (min R 50,000) – Conventional Penalties Act 1962.
11.2 After 24 months: 90 days’ notice.
11.3 Author remains liable for commissions on deals negotiated during Term even if income received later.
12. DISPUTE RESOLUTION & JURISDICTION
12.1 Negotiation → mediation (Pretoria) → arbitration (AFSA, Pretoria), final and binding.
12.2 Governing law: South Africa. High Court, Pretoria non‑exclusive jurisdiction.
